Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Mediagoats Agencies INC ("MediaGoats," "we," "us" or "our") governing access to and use of our website, dashboard, tracking tools and affiliate network services.

1. Acceptance

By registering an account, accessing the platform or participating in any campaign, you agree to these Terms, our Privacy Policy, Cookie Policy and Acceptable Use Policy. If you do not agree, do not use our services. Where you act on behalf of a company, you represent that you have authority to bind that entity.

2. Definitions

• Publisher — an affiliate or media buyer who promotes advertiser offers through approved traffic sources.
• Advertiser — a brand or agency that lists campaigns and pays for qualified actions through the network.
• Offer — a campaign with defined conversion events, geos, caps, payout terms and creative assets.
• Conversion — a tracked and validated action (lead, sale, install, deposit, etc.) attributed to a publisher.
• Platform — MediaGoats websites, APIs, tracking links, dashboards and related tools.

3. Account

You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account. MediaGoats may approve, suspend or reject applications at its discretion. We may require identity verification, tax forms or additional documentation before enabling payouts or high-volume traffic.

Accounts are non-transferable. You must notify us immediately of unauthorized access. We may restrict features, impose caps or pause accounts pending compliance review.

4. Publisher obligations

Publishers agree to:

• Promote offers only through approved traffic sources and in compliance with each offer's terms
• Use tracking links, disclosures and landing pages as required by law and advertiser guidelines
• Refrain from incentivized, fraudulent, bot or misrepresented traffic (see Acceptable Use Policy)
• Not bid on advertiser trademarks or engage in cookie stuffing, click injection or self-referrals unless explicitly permitted
• Maintain records sufficient to respond to compliance audits and quality investigations

Violations may result in conversion reversals, withheld commissions, account suspension or permanent removal from the network.

5. Advertiser obligations

Advertisers agree to:

• Provide accurate offer details, payout rates, caps, restrictions and timely creative updates
• Fund campaigns and honor validated conversions according to agreed schedules
• Ensure landing pages, products and data collection practices comply with applicable laws
• Not reverse valid conversions without documented fraud or policy grounds
• Cooperate with MediaGoats on tracking setup, postbacks and dispute resolution

6. Payments

Publisher payouts are subject to minimum thresholds, payment method availability, KYC completion and hold periods for new accounts or flagged traffic. MediaGoats may adjust, withhold or reverse commissions for invalid conversions, chargebacks, advertiser non-payment or policy violations.

Payment schedules (weekly, bi-weekly, NET-15 or custom) are displayed in the dashboard and may change with notice. Advertisers are invoiced according to separate insertion orders or platform agreements. All amounts are stated exclusive of applicable taxes unless otherwise specified.

Currency conversion, processor fees and bank charges may apply. You are responsible for providing valid payment details and tax documentation.

7. Intellectual property

MediaGoats retains all rights in the Platform, branding, software and documentation. Advertisers grant publishers a limited, revocable license to use approved creatives solely to promote listed offers. Publishers may not modify trademarks or create derivative assets without written consent.

Feedback you provide may be used by MediaGoats without restriction or compensation. You retain ownership of your own sites and content but grant us a license to process traffic data necessary to operate the network.

8. Liability

The Platform is provided "as is" and "as available." To the fullest extent permitted by law, MediaGoats disclaims warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted tracking, specific earnings or campaign availability.

MediaGoats is not liable for indirect, incidental, special or consequential damages, lost profits or lost data arising from use of the services. Our aggregate liability for any claim shall not exceed the greater of (a) fees paid by you to MediaGoats in the three months preceding the claim or (b) one hundred U.S. dollars (USD $100).

Nothing in these Terms limits liability where prohibited by law, including for fraud or willful misconduct.

9. Termination

Either party may terminate the relationship with notice as specified in the dashboard or a separate agreement. MediaGoats may suspend or terminate access immediately for breach, suspected fraud, legal risk or harm to the network.

Upon termination, unpaid valid commissions may be processed subject to holds and offsets. Provisions that by nature should survive (payment obligations, liability limits, IP, governing law) remain in effect.

10. Governing law

These Terms are governed by the laws of the State of Florida, United States, excluding conflict-of-law rules. Disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
